Terms of Service

1. Definitions

"Service" refers to the nivq AI Data Agent platform, including all features, APIs, and related services provided by Nivorbit Technology.

"User" refers to any individual or organization that creates an account and uses the Service.

"Workspace" refers to a multi-tenant environment within the Service where Users collaborate.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials.

You must be at least 18 years old or have the legal capacity to enter into a binding agreement to use the Service.

One person or organization may maintain multiple Workspaces, but each account must represent a real identity.

3. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to violate any applicable laws or regulations.

You are solely responsible for the data you connect to the Service and the queries you execute. nivq does not store your query results on its servers.

You must not attempt to reverse-engineer, decompile, or disassemble any part of the Service, or use the Service to develop a competing product.

4. Pricing and Payments

nivq offers free and paid subscription plans. Pricing details are available on the website and are subject to change.

If pricing changes, existing subscribers will be notified at least 30 days in advance via email. Existing subscribers retain their current rate until the end of their billing cycle.

For international customers, payments are processed by Paddle.com Market Ltd, which acts as the Merchant of Record and authorized reseller of nivq subscriptions. Paddle appears as the merchant on your statement, and your purchase is also subject to Paddle's Buyer Terms. For customers in Türkiye, payments are processed by PayTR.

All payments are non-refundable except as required by applicable law. You may cancel your subscription at any time, and access will continue until the end of the current billing period.

5. LLM Providers and API Keys

nivq allows you to connect third-party LLM providers (e.g., OpenAI, Anthropic, Google) using your own API keys. You are responsible for complying with the terms of service of each provider.

nivq does not store your API keys in plain text. All credentials are encrypted with AES-256-GCM at rest.

Costs incurred from third-party LLM usage are your responsibility and are billed directly by the respective provider.

6. Data and Security

nivq connects to your databases using credentials you provide. All credentials are encrypted end-to-end using AES-256-GCM.

Query results are processed in real-time and are never stored on nivq servers. The Service acts as a pass-through between your database and the AI model.

nivq supports enterprise SSO (OIDC/SAML) and provides complete tenant data isolation in multi-tenant deployments.

7. Intellectual Property

nivq and all associated trademarks, logos, and content are the property of Nivorbit Technology. You may not use our branding without prior written consent.

You retain all rights to your data. nivq does not claim ownership of any data you process through the Service.

The self-learning agent feature may use your query patterns to improve accuracy for your specific Workspace. This data is isolated to your tenant and never shared.

8. Limitation of Liability

The Service is provided "as is" without warranties of any kind, either express or implied. nivq does not guarantee that generated queries will be error-free.

Nivorbit Technology shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.

You are responsible for validating all generated queries before executing them against production databases.

9. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the Service will be revoked and your account data will be deleted within 30 days.

Nivorbit Technology reserves the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before they take effect.

Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
